Terms of Service

1. Definitions

In these Terms:

• "Aureum AI", "we", "us", or "our" refers to Aureum AI Pty Ltd, an Australian company
• "Service" refers to Aureum AI's AI-powered telephone answering service
• "Client" or "you" refers to the real estate agent, agency, or business subscribing to the Service
• "Caller" refers to any person who contacts you via the Aureum AI phone service
• "Setup Fee" refers to the one-time onboarding fee charged per office upon sign-up
• "Retainer" refers to the monthly subscription fee charged per agent

2. Description of Service

Aureum AI provides a single, defined service: an AI-powered assistant that answers incoming telephone calls on behalf of the Client, captures caller information (including name, phone number, and reason for calling), and delivers a summary notification to the Client via SMS and email.

The Service does not include and is explicitly limited to telephone call answering. The following are not part of the Service:

• SMS or text message handling
• CRM integration or data synchronisation
• Calendar management or appointment booking
• Outbound calling
• Email management

We reserve the right to modify the scope of the Service with 30 days' written notice to Clients.

3. Eligibility and Account Registration

To use the Service, you must:

• Be at least 18 years of age
• Be a licensed or registered real estate professional or operate a real estate agency
• Provide accurate and complete registration information
• Maintain the confidentiality of your account credentials

You are responsible for all activity that occurs under your account. Notify us immediately at hello@aureumai.com.au if you suspect unauthorised access.

4. Fees and Payment

Setup Fee

A one-time Setup Fee is charged per office upon onboarding. The Setup Fee is tiered based on the number of agents being set up:

• 1–5 agents: $3,999 (AUD)
• 6–9 agents: $1,999 (AUD)
• 10 or more agents: No setup fee (waived)

The Setup Fee is non-refundable once onboarding has commenced.

Monthly Retainer

A monthly Retainer of $399 (AUD) per agent is charged on a recurring monthly basis, beginning from the date your service goes live. The Retainer covers unlimited call answering for each active agent on your account.

Payment Terms

• All fees are quoted and charged in Australian Dollars (AUD) unless otherwise stated
• Payment is due on the date of invoice. Overdue payments attract a late fee of 1.5% per month
• We reserve the right to suspend the Service if payment is 14 or more days overdue
• Prices are subject to change with 30 days' written notice

5. Term and Cancellation

The Service operates on a month-to-month basis with no minimum lock-in period, except as stated below.

• You may cancel at any time by providing written notice to hello@aureumai.com.au
• Cancellations take effect at the end of the current billing period — no pro-rata refunds are provided for partial months
• The Setup Fee is non-refundable under any circumstances
• Upon cancellation, your access to the Service and all associated data will be terminated within 30 days

6. Acceptable Use

You agree not to use the Service to:

• Engage in any unlawful activity or facilitate fraud
• Harass, threaten, or deceive callers in any manner
• Misrepresent the nature of the AI assistant to callers in ways that are materially deceptive
• Violate any applicable laws, regulations, or third-party rights
• Attempt to reverse-engineer, copy, or replicate the Aureum AI technology

We reserve the right to suspend or terminate your account immediately if we determine that you have violated these terms.

7. Call Recording and Compliance

By subscribing to the Service, you acknowledge and accept that:

• All calls handled by Aureum AI may be recorded and transcribed
• You are responsible for ensuring that your use of the Service complies with all applicable laws in your jurisdiction, including laws relating to the recording of telephone conversations
• In Australia, consent requirements for call recording vary by state. You are responsible for understanding and meeting these requirements
• Aureum AI is not liable for any non-compliance arising from your failure to meet applicable recording laws

8. Intellectual Property

All intellectual property in the Aureum AI platform, including software, algorithms, scripts, branding, and content, remains the exclusive property of Aureum AI Pty Ltd. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service for your own business purposes only.

You retain ownership of your business data, including caller information captured through the Service.

9. Limitation of Liability

To the maximum extent permitted by law:

• Aureum AI is not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service
• Our total liability for any claim arising from the Service is limited to the fees paid by you in the three months preceding the claim
• We do not guarantee that the Service will be error-free, uninterrupted, or available at all times

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10. Indemnity

You agree to indemnify and hold harmless Aureum AI Pty Ltd, its directors, employees, and agents from any claims, losses, damages, or expenses (including legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any law or third-party rights.

11. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of New South Wales.

12. Changes to These Terms

We may update these Terms from time to time. We will provide 30 days' written notice of material changes. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
